T&K Advises on Ground-Breaking Investor Voting Project in Brazil

Attorneys Assist with Digital Voting Project and Co-Host Debut Event

São Paulo - The global law firm of Thompson & Knight LLP, through its Brazilian affiliate Tauil & Chequer Advogados, has assisted with the development and structuring of an innovative and unique project called Assembléias Online, which allows for the rendering of digital voting by shareholders and quotaholders through a safe and efficient method.

Approved by the Comissão de Valores Mobiliários (the Brazilian Securities and Exchange Commission), Assembléias Online was conceived and is being conducted by MZ Consult, the largest consulting company for publicly held companies in Brazil, and CertiSign, a prominent digital certification company. CertiSign is the exclusive Brazilian provider of the products and services provided by the American company VeriSign Inc. and is the only Brazilian affiliate of the VeriSign Trust Network.

The Thompson & Knight team advising on this project includes Flávia Andraus, Felipe H. Kim, and Bruna Gobbi. Together with MZ Consult and CertiSign, the Firm also co-hosted an event announcing the debut of Assembléias Online held on December 9 in São Paulo, Brazil. The event attracted more than 200 participants, including in-house counsel, managers, and high-ranking officers from various Brazilian companies and financial institutions who came to learn more about the innovative project.

Although the main purpose of Assembléias Online is to provide for the valid submission of digital votes at investor meetings at companies and funds that subscribe to the service, the overall goal of the project is much broader in scope and is in tune with corporate governance best practices. Assembléias Online will not only enhance the number of investors that will be able to effectively participate in the decision-making process of the companies and funds in which they invest, but it will also create virtual spaces for debates and discussions amongst all of the parties involved and, thus, promote unprecedented proximity, transparency, and cohesion.
