Triunfo Participacoes e Investimentos is the First Infrastructure Company to Adhere to Assembleias Online
SAO PAULO, Feb. 2/PRNewswire-FirstCall/ --Triunfo Participacoes e Investimentos S.A. (Bovespa: TPIS3 - NM), a leading company in the Brazilian infrastructure sector and the exploration of public services in the highway, port and power segments, is reinforcing its commitment to the best corporate governance practices by adhering to Assembleias Online (Online Shareholders Meetings), which will enable its shareholders to participate remotely in all future shareholders meetings.
Triunfo is the first company in the infrastructure sector to adopt the system, whose aim is to promote the participation of minority shareholders in the companys meetings.
Shareholders who are not yet registered with the system can now do so via the website www.assembleiasonline.com.br and obtain free digital certification, giving them exclusive access to the systems document consultation and voting areas (in Portuguese and English).
Assembleias Online is a pioneering initiative of MZ Consult, Latin Americas leading financial communications company, together with Brazils leading law firms, which resulted in an official request to the Board of the Brazilian Securities and Exchange Commission (CVM) in February 2008. In June of the same year, the request was approved, the CVM Board having found no impediments to the use of digital certification and other details provided by MZ.
By adhering to the system, in addition to improving its corporate governance practices and reinforcing its commitment to corporate transparency, Triunfo is in compliance with CVM Instruction 481, of December 17, 2009, which rules on the exercise of electronic voting rights and other matters related to the shareholders meetings of publicly-held companies.
This is a unique system which combines technology, security and privacy to promote investors participation in companies strategic management. In addition to certification by Certisign/VeriSign (the Brazilian and global leader in digital certification technology), the system also counts on Ernst & Young to revise its internal controls (Webtrust certification).
